The following conditions shall govern all transactions between any party
("The Customer") and Colourscope ("The Company") (except as otherwise
specifically agreed in writing by a partner of The Company) to the exclusion
of any other conditions.

| 1. | Orders: The Company may decline any order upon receipt. |
| 2. | Services: 2.1 Under the standard "21 day service" Colourscope will endeavour to dispatch the items dyed to The Customer within 21 working days of receipt by Colourscope. Working days exclude weekends and bank holidays. The method of carriage and carrier used shall be at the discretion of Colourscope. 2.2 Under the premium "10 day service" Colourscope will endeavour to dispatch items dyed to The Customer within 10 working days of receipt by Colourscope. Working days exclude weekends and bank holidays. A next day delivery service will be used to return items dyed under the premium service. The carrier used shall be at the discretion of Colourscope. 2.3 A completed order form should be submitted with each order and The Customer should clearly state which service is required. |
| 3. | Colour
Matching: 3.1 Customers are respectfully reminded that whilst every care and effort is made to match the colour swatch provided, Colourscope must point out that there may be occasions when an exact colour match cannot be achieved due to the unstated material content of shoes or handbags. In addition, colour matching is carried out in natural daylight and shade variations can occur under some artificial light conditions. Dyeing is therefore only undertaken at The Customers own risk. 3.2 Waterproofing: Colourscope cannot guarantee that after colourising these articles will be colourfast. As a precaution, therefore, Colourscope suggest these items be waterproofed particularly if they are likely to be used in wet conditions. Please note, however, that after waterproofing it will not be possible to re-dye the items. |
| 4. | Payment: Unless otherwise agreed in writing by Colourscope full payment for all items to be dyed shall be enclosed with the order. |
| 5. | Limitation
of The Company's Liability: 5.1 The liability of Colourscope for any of The Customers goods held in trust by Colourscope shall be limited to the value of the goods up to a maximum of £50 per individual order. 5.2 The liability of Colourscope for all goods returned to The Customers shall be limited to the liability accepted by the carrier of the goods. If additional insurance for goods in transit is required by The Customer, this must be communicated to Colourscope in writing and any costs associated with this additional insurance shall be reimbursed to Colourscope by The Customer. |
| 9. | Warranties: In lieu of any warranty or condition statutory or otherwise expressed or implied as to the quality, performance or fitness for any particular purpose of the goods or services Colourscope agrees that is work is defective by reason or default of Colourscope to use reasonable skill and care Colourscope shall in its option either rectify such defects at its own expense or refund the charge made by Colourscope for the defective work but in no circumstances whatsoever shall Colourscope by under any further liability of any kind. This does not affect your statutory rights. |
| 10. | Force
Majeure: Every effort will be made to carry out the contract but its due performance is subject to cancellation by The Company or to such variation as The Company may find necessary as a result of inability to secure labour, materials or supplies as a result of any Act of God, War, Strike, Lock Out or other labour dispute, Fire, Flood, Drought, Legislation, order of public authority or other cause (whether of the foregoing class or not) beyond the control of The Company and The Company shall not be liable for any inability to deliver in accordance with the contract caused by any such contingency. |
| 11. | English
Law: These conditions and all other express terms of he contract shall be governed and constructed in accordance with the laws of England and any dispute shall be settled in the English Courts. |
